Dealing with ININDI after

given a business

suggestion, terms and

conditions.

Our default terms below, if nothing else has been agreed in

writing in advance:

1.

We agree by dealing with ININDI (Inindi

from Sweden or any sister company or brand of

the same or any company later added to the

ININDI group of companies, or partner company to

ININDI) after have being given a link to this page

(or page with info that includes a link to this page)

or as attached to an E-mail  or by referring to

this web page in any other way, that we accept

that these terms are valid or we will back out

from dealing with ININDI.   ININDI is also bound

by this the same.

1a.

These are the default rules for any such

deal, but these rules can be replaced by a

written agreement made in advance valid for a

single deal. Such deal can be made by sending

and agreeing using emails.

1b.

Parts and issues not covered by what is included in such

an agreement as per 1a, above, will still be covered by the

below.

2.

When ININDI give you a business suggestion or proposal

this will follow the below terms and conditions if nothing else

is agreed for the same matter in a separate agreement in

writing.

3.

The proposal may mean that you get an exclusive or a

non-exclusive right to develop such a deal. Confirm with

ININDI whichever it is. You may also get the right to develop

such a deal for only a given geographical area – make sure

you have understood which area in such a case before

starting the work on the proposal.

4.

By merely receiving a proposal you have no rights to the

deal. First you must inform the other party (in your case

ININDI) that you are prepared to undertake such a task – and

ININDI must confirm that you have been given this task in

writing before you start working on it.

5.

When you give ININDI a business

contact which ININDI can use for

developing a business deal, then you

will be guaranteed 15% of the profit

ININDI will make from the same,

subject to that there is a profit.

5a.

The other way around you

guarantee that ININDI will get 15% of

your profit should ININDI give you a

contact that you will develop

separately.

5b.

That the payment of the 15%, both ways, will be given

within 30 days of earning or receiving the profit.

6.

In a case where both parties are involved in developing a

business proposal together or idea beyond just giving a

contact, then the profit shall be shared as below – if not

agreed differently in advance in writing:

6a.

Default its 50-50, half each but adjusted as below:

6b.

Actual costs each party incur for performing the deal

shall be covered first and deducted from incoming amount.

This amount must not include costs for running each own

company, nor any other costs respective party would have

incurred anyway, nor any other cost any party incur that is

not fully and solely related to the deal in question (example a

travel that would have taken place anyway is not deductible

and covered).

6c.

Any major expenditures, including unexpected such,

must be informed to and accepted by the other party before

such cost is incurred in order to be allowed to be deducted

from (covered by) and adjusted from the amount to be

shared.

6d.

Own salary can not be deducted/covered from the

earning amount before the amount is divided. Only external

necessary salaries, approved by the other party, can be

deducted/covered.

6e.

No party can deduct more than 25% from the total

common earnings for his costs, without the written consent

of the other party.

6f.

The party that invoices or

get the payment from which

the amount is to be divided as

above shall be shared, as

above, latest 30 days after

receiving such payment. If both

parties are receiving different

such payments, then the net

amount that one party shall

send to the other party shall be

calculated and paid for within

30 days of full earnings has been received.

6g.

The above is subject to that there is a profit to share. No

final deal also means no sharing.

7.

Each party are responsible for paying his own taxes and

duties. Such taxes and duties will not be deducted in

advance from the amount to be shared but paid by each

party after receiving his share of the deal as per above.

8.

Any conflicts about the above to be solved by

negotiations between the parties. If such negotiations fail,

then the case will have to be solved in a court of law. The

party that takes the matter to the court must use the court

nearest and valid for the opposite party, to the country and

where that company is registered or that person lives.
